Affiliate Program Terms and Conditions

1. Introduction

Welcome to SameDaySupplements.com, operated in West Babylon New York United States. SameDaySupplements.com may be referred to herein as "Site", "we", "us", or "our".

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE JOINING SameDaySupplements.com Affiliate Program. By using and/or joining SameDaySupplements.com Affiliates Program states that you signify your agreement to these terms and conditions. If you do not agree to these terms and conditions, you may not use SameDaySupplements.com Affiliate Program.

As an authorized affiliate (Affiliate) of SameDaySupplements.com, you agree to abide by the terms and conditions contained in this Agreement. Please read the entire Agreement carefully before registering and promoting SameDaySupplements.com as an Affiliate.

Your participation in any of our Affiliate Programs is solely to legally advertise and promote our website to receive commission on products purchased by individuals referred to SameDaySupplements.com by your own website, social media, or personal referrals.

2. Approval or Rejection of the Application

We reserve the right to approve or reject ANY Affiliate Program Application in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.

3. Commissions

Commissions will be received as USD store credit once a referred order has been paid and shipped. Referred orders that are refunded or returned will not receive commission. Referred Transactions that result in chargebacks will not receive commission, if commission was initially received, we will deduct the charged back commission amount from your balance.  You cannot refer yourself, and you will not receive a commission on your own accounts.  Commissions expired after 1 year. from the date of issuance.

4. Store Credit (Commission Earnings)

Store credit can be used to purchase any products on our website. 

5. Active Promotion Requirement

We expect our affiliates to actively promote our website and products to maintain an active account. 

• An active account is defined as regularly generating qualifying referrals within a specified period, as detailed in our separate inactive account policy.
• Affiliates who do not actively promote our website and fail to meet the minimum referral requirements will be considered inactive accounts.

6. Inactive Account Policy

• Inactive accounts will be subject to termination without prior notice.
• We reserve the right to determine the specific criteria for defining an inactive account, which may include a combination of the following factors: lack of referral activity, failure to meet minimum referral requirements, or extended periods of inactivity.
• Upon termination, all unused affiliate codes and links associated with the inactive account will be deactivated and no longer eligible for commission.

7. Termination

Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

• Inactive accounts as defined above will be subject to termination without prior notice.
• Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
  Spamming (mass email, mass newsgroup posting, etc.).
• Advertising on sites containing or promoting illegal activities.
• Accounts that are no longer active or actively being promoted will be terminated.
• Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.
• Violation of intellectual property rights. SameDaySupplements.com reserves the right to require license agreements from those who employ trademarks of SameDaySupplements.com in order to protect our intellectual property rights.
• Self-referrals, fraudulent transactions, suspected Affiliate fraud.
• We may suspend or terminate your account and your ability to use SameDaySupplements.com or Affiliate Program portion thereof for failure to comply with these terms or any policies on our website.
• SameDaySupplements.com reserves the right to terminate any account at any time, for any reason whatsoever.

If the Affiliate account is terminated, no further commissions will be paid for any past or future customer transactions. Balances will be forfeited.

8. Affiliate Links

You may use graphics and text links both on your website and within in your email messages. You may also advertise the SameDaySupplements.com site in online and offline classified ads, magazines, and newspapers.

9. Coupon and Deal Sites

Below are the terms that apply to any affiliate who is considering the promotion of our products in relation to a deal or coupon:

Affiliates may not use misleading text on affiliate links, buttons or images to imply that anything besides currently authorized deals to the specific affiliate.

Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific saving by clicking on a clearly marked link, button or image for that particular coupon or deal. Your link must send the visitor to SameDaySupplements.com .

The user must be able to see coupon/deal/savings information and details before an affiliate cookie is set (i.e. “click here to see coupons and open a window to merchant site” is NOT allowed).

Affiliate sites may not have “Click for (or to see) Deal/Coupon” or any variation when there are no coupons or deals available, and the click opens the merchant site or sets a cookie. Affiliates with such text on the merchant landing page will be removed from the program immediately.

10. Liability

SameDaySupplements.com will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).

We do not make any expressed or implied warranties with respect to the Program and/or the affiliate system or products sold by SameDaySupplements.com. We make no claim that the operation of the Program and/or our website(s) will be error-free, and we will not be liable for any interruptions or errors.

11. Term of the Agreement

The terms and conditions of this agreement may be modified by us at any time. If any modification to the terms and conditions of this Agreement are unacceptable to you, your only choice is to terminate your Affiliate account. Your continuing participation in the Program will constitute your acceptance of any change.

As a condition to your acceptance and participation in the Program, you will comply at all times with all federal, state, provincial and foreign laws, statutes, ordinances, rules, regulations, orders, judgments and decrees applicable to you, your Sites, your business and your participation in the Program, including but not limited to the Federal Trade Commission Act, the FTC's Endorsement Guides, and all applicable export laws, statutes, ordinances, rules and regulations of the United States and any other applicable jurisdiction. In addition, you will not:

• engineer your Site in such a manner that pulls or diverts internet traffic away from our Site;
• attempt to modify or alter our Site or any Site with which we are affiliated in any way;
• make any representations, either express or implied, or create an appearance, that a visitor to your Site is visiting our Site (for example, "framing" our Site), without our express prior written approval;
• "scrape" or "spider" our Site or any other Puritan's Pride Site for content (such as images, logos or text);
• generate or send any email messages using or containing our name or logo, or any variation thereof, any of our Trademarks or any of our products, without our express prior written permission.
• forward, redistribute, or otherwise repurpose any email communications or newsletters that we send to our affiliates or customers;
• generate or send any unsolicited email (spam);
• create, link to or host any type of shopping cart between our Site and your Site;
• make any statement or claim that (i) any product sold by SameDaySupplements.com is intended to diagnose, treat, cure or prevent any disease or illness or (ii) is otherwise violative of applicable law, regulation, rule, court order or order of any applicable governmental authority;
• sell or divert any of our products to countries subject to comprehensive U.S. sanctions or to individuals or entities identified on U.S. sanctioned or denied party lists (e.g., the U.S. Treasury Department’s Office of Foreign Assets Control’s Specially Designated Nationals List); or
• bid on our trademarks, trademark variations and misspellings, or company slogans such as "Supplement Your Health" on any Pay per Click Search Engine ("PPCSEs). This includes, but is not limited to, Google, Yahoo! Marketing, MSN and second- and third-tier search engines

We have the right in our sole and absolute discretion to monitor your Site at any time and from time to time to determine whether you are in compliance with the terms of this Agreement, and you agree to provide us with unrestricted access to your Site for that purpose.

12. Indemnification

Affiliate shall indemnify and hold harmless SameDaySupplements.com and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by SameDaySupplements.com to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.

13. Governing Law, Jurisdiction, and Attorney Fees

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of New York. Any dispute arising under or related in any way to this Agreement shall be adjudicated exclusively in the state courts located in West Babylon, New York.

14. Privacy Policy

15. Amendment

At any time, we may amend these terms of use (including by modification, deletion and/or addition of any portion thereof). If we make a material amendment to these terms of use, we will notify you of such amendment by sending you an e-mail at the last e-mail address that you provided us, and/or by posting notice of such amendment on SameDaySupplements.com. Any such amendment to these terms of use will be effective thirty (30) calendar days following either our dispatch of an e-mail notice to you or our posting of notice of the changes on SameDaySupplements.com. Please note that, at all times, you are responsible for updating your personal information to provide us your current e-mail address. In the event that the last e-mail address that you have provided us is not valid, or for any other reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of any amendment described in the notice.

16. Waiver; Time Within Which Claims Must Be Brought

No waiver of any provision of these terms by us shall be deemed a further or continuing waiver of such provision or any other provision, and our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision. In these terms of use, the word "including" is used illustratively, as if followed by the words "but not limited to." YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE, SAMEDAYSUPPLEMENTS.COM MUST BE BROUGHT WITHIN SIX (6) MONTHS AFTER THE DISPUTE, CLAIM OR CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH DISPUTE, CLAIM OR CAUSE OF ACTION SHALL BE PERMANENTLY BARRED.

Your Acceptance of These Terms

By using SameDaySupplements.com Affiliate Program, you signify your acceptance of our Policies, Terms and Conditions, your promise to comply with the representations you make and contained in the Privacy Policy and Terms of Use, and your understanding of the scope and limitations of the protections provided under the Privacy Policy and Terms of Use. If you do not agree to these policies, please do not use SameDaySupplements.com. Your continued use of SameDaySupplements.com following the posting of changes to our Terms of Use or Privacy Policy will mean that you accept those changes.
